Nestlé has agreed to sell the bulk of its vitamins, minerals, and supplements business to U.S. private equity firm Yellow Wood Partners for $1 billion, the Swiss food and beverage giant announced Tuesday. The deal marks another step in Nestlé’s ongoing effort to trim its portfolio down to categories where it holds a clear competitive edge.
What did Nestlé sell and to whom?
Nestlé sold its mainstream Vitamins, Minerals and Supplements (VMS) business, known internally as the Holistic Health portfolio, to Yellow Wood Partners for $1 billion (CHF 0.8 billion).
The sale is subject to regulatory approval and is expected to close in the first half of 2027.
Which brands are included in the deal?
The transaction covers seven consumer brands: Nature’s Bounty, Osteo Bi-Flex, Ester-C, Gard, Nuun, Puritan’s Pride, and Sisu.
It also includes Nestlé’s U.S. private-label supplements business, along with the manufacturing, packaging, warehousing, and distribution operations tied to those brands. The business operates mainly in the U.S., with a smaller footprint in Canada and China.
Why is Nestlé selling its vitamins and supplements business?
Nestlé says the mainstream supplements category has changed and now needs a different strategy under dedicated, standalone ownership rather than sitting inside a large multinational.
CEO Philipp Navratil framed the move as part of a broader reshaping of Nestlé’s portfolio. “This is another important step in the strategic transformation of our portfolio,” Navratil said in the companies’ joint statement. “We are focusing our resources where we have the strongest competitive advantage.”
Navratil added that Nestlé’s premium, science-led supplement brands, Solgar and Pure Encapsulations, are performing well and will remain part of the company. Those two brands are not part of the sale.
What is the Holistic Health portfolio worth?
The division being sold generated $1.2 billion in sales in 2025, according to Nestlé.
That puts the $1 billion sale price at roughly 0.8 times last year’s revenue for the unit, a figure that reflects the more commoditized, price-competitive nature of the mainstream supplements market compared with premium or science-backed nutrition brands.
Who is Yellow Wood Partners?
Yellow Wood Partners is a Boston-based private equity firm that specializes in acquiring consumer brands carved out of larger corporations.
As Yellow Wood completes the purchase, it marks the firm’s sixth brand take-over from a major consumer goods company since 2019. This sequence indicates that the company is mainly engaged in developing consumer brand acquisitions and keeping such acquired businesses independently which are no longer aligned with the core business strategy of the original parent corporation.
What does this mean for Nestlé’s broader strategy?
The sale fits a pattern of Nestlé shedding non-core assets while doubling down on premium, higher-margin categories such as science-backed nutrition and pet food.
Earlier this year, Nestlé committed CHF 520 million (about $641.9 million) to a pet food plant in Mantova, Italy, and partnered with Nanyang Technological University Singapore on longevity and women’s health research. Together, these moves suggest Nestlé is steering capital toward categories it considers higher-growth and more defensible, while stepping back from mass-market supplement brands that face heavier price competition from retailers and smaller challengers.
